Overview
Welcome to KIRA NOVA. In these Terms of Service, "we", "us" and "our" refer to KiraNova OÜ, an Estonian company (registration number 17310207) that trades as KIRA NOVA. We operate this store and website, including all related content, features, tools, products and services (the "Services"). Our store is powered by Shopify, which provides the technology behind the Services.
These Terms of Service, together with any policies referred to in them (the "Terms"), set out your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, including sections on warranties and liability.
By visiting or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
Your statutory rights. If you are a consumer, you have rights under Estonian, EU and UK consumer law that cannot be signed away. Nothing in these Terms limits or removes those rights. Where anything in these Terms conflicts with your mandatory statutory rights as a consumer, those rights apply.
1. Access and account
By agreeing to these Terms, you confirm that you are at least the age of majority in your country of residence. If you allow a minor in your care to use the Services on a device you control, you accept responsibility for their use.
To use the Services you may need to provide information such as your email address and billing, payment and shipping details. You confirm that the information you give us is correct, current and complete, and that you are entitled to provide it.
You are responsible for keeping your account details secure and for activity on your account. You may not transfer, sell, assign or license your account to anyone else.
2. Our products
We work hard to show our products accurately. Even so, colours and appearance may look different on your screen depending on your device and its settings, so slight variation from what you receive is normal.
Product descriptions may change at any time. We may discontinue a product, or limit the quantities available to any person, region or country, at our discretion. This does not affect your statutory rights in relation to any product you have already bought.
3. Orders
When you place an order, you are making an offer to buy. We may accept or decline any order. Your order is accepted only once we confirm acceptance, and we must receive payment before we accept it. Please check your order carefully before submitting it, as we may not be able to change or cancel an order once it has been accepted.
If we do not accept, change or cancel an order, we will try to contact you using the email, billing address or phone number you gave at the time.
Returns and cancellation. Your purchases can be returned or exchanged in line with our Returns and Exchanges Policy. If you are a consumer in the EU or UK, you also have a statutory right to cancel most orders within 14 days, as set out in that policy.
4. Prices and billing
Prices, discounts and promotions may change without notice. The price you pay is the price shown when you place your order, as confirmed in your order confirmation email. Unless stated otherwise, posted prices do not include taxes, shipping, handling, or any customs or import charges.
Promotions may have their own terms. If those terms conflict with these Terms, the promotion terms apply to that promotion.
You agree to give current, complete and accurate payment and account information, and to keep it up to date so we can complete your orders and contact you when needed.
You confirm that the payment details you provide are true and that you are authorised to use the payment method for your purchase.
5. Shipping and delivery
Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Risk of loss or damage passes to you when the goods are delivered to you, or to a carrier you arranged yourself. If you are a consumer, this does not affect your statutory rights where goods arrive damaged or faulty.
6. Intellectual property
The Services, including all trademarks, text, images, graphics, video, audio, and their design, selection and arrangement, are owned by KiraNova OÜ, its affiliates or licensors, and are protected by Estonian, EU and international intellectual property law.
You may use the Services for your own personal, non-commercial use only. You must not reproduce, distribute, modify, republish, download, store or transmit any material from the Services without our written permission, except as these Terms allow. All rights not expressly granted are reserved.
The KIRA NOVA name, logo and related names and designs are trademarks of KiraNova OÜ or its licensors, and you may not use them without our written permission. Shopify's name and logo are trademarks of Shopify. All other trademarks on the Services belong to their respective owners.
7. Optional third-party tools
We may give you access to tools provided by third parties that we do not control or monitor. These are provided "as is" and "as available", without warranties, and we are not liable for your use of them. Using them is at your own risk, so please review the third party's own terms first. Any new tools or features we add later also form part of the Services and are covered by these Terms.
8. Third-party links
The Services may link to websites run by others. We are not responsible for the content, accuracy or practices of those sites. If you leave the Services to visit them, you do so at your own risk, so please review their policies before you transact. Any questions or complaints about third-party products or services should go to that third party.
9. Relationship with Shopify
KIRA NOVA is powered by Shopify, which enables us to provide the Services. Any sales you make in our store are made directly with KiraNova OÜ. Shopify is not responsible for any aspect of the sale between you and us, including any loss or damage resulting from products you buy. You release Shopify and its affiliates from any claims arising from your purchases and transactions with us. Nothing in this section affects your statutory rights against us as the seller.
10. Privacy
All personal information we collect through the Services is handled under our Privacy Policy, and some information may also be subject to Shopify's Privacy Policy. Because the Services are hosted by Shopify, information you submit may be shared with Shopify and with third parties that may be located outside your country, in order to provide the Services. Please read our Privacy Policy for the detail of how we, Shopify and our partners use your information.
11. Reviews and feedback
If you send us ideas, suggestions, reviews or other content ("Feedback"), you give us a worldwide, royalty-free, sublicensable licence to use, reproduce, modify, publish and display it for any purpose, including promoting the Services. Where the Feedback contains your personal information, we handle it under our Privacy Policy.
You confirm that you own or have the rights to the Feedback you submit, that you have disclosed any incentive you received for it, and that it complies with these Terms. We are not obliged to keep Feedback confidential, to pay for it, or to respond to it.
Your Feedback must not break the law, infringe anyone's rights, be abusive, defamatory or obscene, or contain viruses or malware. You must not impersonate anyone or misrepresent where the Feedback came from. You are responsible for the Feedback you submit. We may, but do not have to, monitor, edit or remove Feedback we consider objectionable or in breach of these Terms.
12. Errors and inaccuracies
Occasionally the Services may contain typographical errors, inaccuracies or omissions, for example in descriptions, pricing, offers, shipping charges or availability. We may correct these, and may change information or cancel orders affected by an error, at any time without prior notice, including after you have placed an order. If we cancel an order you have already paid for because of an error, we will refund you in full.
13. Acceptable use
You may use the Services for lawful purposes only. You must not use the Services:
• for any unlawful, fraudulent or malicious purpose, or to break any applicable law;
• to infringe our intellectual property rights or those of others;
• to harass, abuse, defame, intimidate or harm our staff or any other person;
• to send false or misleading information, spam, or unsolicited promotional material;
• to impersonate any person or entity, or misrepresent who you are;
• to upload viruses or malicious code, or interfere with the operation or security of the Services;
• to copy, resell or exploit any part of the Services, or to collect other people's personal information; or
• to bypass or circumvent any security or access-control measures we use.
We may suspend, disable or close your account if we reasonably determine that you have breached these Terms.
14. Automated access
If you use automated tools, bots or software agents to access the Services, you must do so responsibly and lawfully. You must not use automated means to scrape or extract data at scale, place bulk or fraudulent orders, circumvent security measures, or bypass measures such as CAPTCHAs that distinguish automated from human use. We may limit or block automated access by technical means, and we may require automated tools to identify themselves. We will apply any such measures in a fair and non-discriminatory way.
15. Termination
We may suspend or end your access to the Services where you have breached these Terms, or as otherwise permitted by law. You remain liable for any amounts owed up to the date of termination.
The following sections continue to apply after termination: Intellectual property, Reviews and feedback, Termination, Warranties and liability, Indemnification, Severability, Waiver and entire agreement, Assignment, Governing law, and Privacy, together with any other terms that by their nature should survive.
16. Warranties and liability
Consumers. If you are a consumer, you receive the full protection of Estonian, EU and UK consumer law. Your goods must match their description, be of satisfactory quality and be fit for their purpose, and you are entitled to a repair, replacement or refund if they are not. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud, or for any statutory rights that cannot be excluded.
Information on the Services. General information on the Services is provided for information only, and we do not warrant that it is complete or error-free. This does not affect the accuracy we are required to provide in product descriptions and pricing under consumer law.
Everything else. Subject to the paragraphs above, and to the fullest extent permitted by law, the Services and any third-party tools are provided "as is" and "as available", and we do not guarantee that they will be uninterrupted, timely, secure or error-free. To the fullest extent permitted by law, and except for the liability described above that cannot be excluded, we are not liable for indirect or consequential loss, or for lost profits, revenue, savings or data, arising from your use of the Services. Nothing in this section limits the rights of a consumer under mandatory law.
17. Indemnification
If you use the Services in breach of these Terms, in breach of the law, or in a way that infringes someone else's rights, you agree to cover the reasonable losses, damages and costs (including reasonable legal fees) that we or Shopify incur as a result of a third-party claim arising from that conduct. This does not apply to anything caused by our own breach or negligence. We will notify you of any such claim, may take part in its defence, and will not settle a claim that imposes non-monetary obligations on you without your consent, which you will not unreasonably withhold. This clause does not reduce your statutory rights as a consumer.
18. Severability
If any provision of these Terms is found to be unlawful or unenforceable, it will be applied as far as it lawfully can be, or severed if it cannot, and the remaining provisions will stay in full effect.
19. Waiver and entire agreement
If we do not enforce a right or provision, that is not a waiver of it. These Terms, together with the policies we post on the site, are the entire agreement between you and us about your use of the Services, and replace any earlier agreements between us on that subject. This does not exclude liability for fraudulent misrepresentation.
20. Assignment
You may not transfer or assign these Terms, or your rights or obligations under them, without our written consent. We may transfer or assign these Terms, and our rights and obligations, provided this does not reduce your rights as a consumer.
21. Governing law and jurisdiction
These Terms are governed by the laws of Estonia. Disputes will be subject to the jurisdiction of the Estonian courts. If you are a consumer resident in the EU or the UK, you also keep the benefit of any mandatory consumer-protection rules of the country where you live, and you may bring proceedings in the courts of that country where the law allows. You may also use the EU Online Dispute Resolution platform to try to resolve a dispute out of court.

Headings are for convenience only and do not affect the meaning of these Terms.
23. Changes to these Terms
You can always find the current version of these Terms on this page. We may update them from time to time by posting the revised version here. We will give notice of material changes as required by law, and those changes take effect on the date stated in the notice. If you continue to use the Services after a change takes effect, you accept the updated Terms.
